Reinstatements are applications by which a corporation suspended or dissolved under UCA 16-10-88.1 or 59-13-61 may be reinstated as a legal entity. Annual reports are reports filed with the department as required by UCA 16-10-121 and 16-10-122. Annual report includes the name of the corporation and the state or country under the laws of which it is incorporated; the address of the registered office and the name of the registered agent in the state; for foreign corporations, the address of the principle office in the state or country of incorporation; the type of business conducted in Utah; the names and addresses ofthe corporate officers; the names and addresses of the directors; the total number of authorized shares itemized by classes, par values of shares, shares without par value and series within a class; the total number of issued shares itemized by classes, par values of shares, shares without par value, and series within a class; the amount of stated capital; and the signature of the authorized officer. Application for reinstatement includes the name of the applicant, the applicant's position (stockholder, creditor, or officer), the name of the corporation, the date the corporation was suspended, and the signature of the applicant.
